BONITA SPRINGS, Fla.–(BUSINESS WIRE)–Herc Holdings Inc. (NYSE: HRI) (the “Company”) today announced that its subsidiary, Herc Rentals Inc. (“Herc”), has given notice of its intention to redeem all $427.0 million outstanding principal amount of Herc’s 7.50% Senior Secured Second Priority Notes due 2022 (the “2022 Notes”) (CUSIP Number 42806L AA9 (Rule 144A) / U42817 AA1 (Regulation S)) and all $437.5 million outstanding principal amount of Herc’s 7.75% Senior Secured Second Priority Notes due 2024 (the “2024 Notes” and, together with the 2022 Notes, the “Notes”) (CUSIP Number 42806L AB7 (Rule 144A) / U42817 AB9 (Regulation S)) on July 9, 2019 (the “Redemption Date”).
The Notes will be redeemed at a redemption price of 103.750% in the case of the 2022 Notes and 105.813% in the case of the 2024 Notes, plus interest accrued to, but excluding, the Redemption Date.
Herc has instructed Wilmington Trust, National Association, as the trustee for the Notes, to deliver the Notices of Redemption to the registered holders of the Notes on June 25, 2019.
The Company expects to use a portion of the net proceeds from its offering of 5.50% Senior Notes due 2027, which is expected to close on July 9, 2019, to redeem the Notes and to pay related fees expenses.
The redemption is subject to, and conditioned upon, the completion of the Company’s offering of 5.50% Senior Notes due 2027 no later than the Redemption Date. In the Company’s discretion, the Redemption Date may be delayed until such time as the condition precedent shall be satisfied (or waived by the Company in its sole discretion), or such redemption may not occur and the Notices of Redemption may be rescinded in the event that the condition precedent shall not have been (or, in the Company’s sole determination, may not be) satisfied (or waived by the Company in its sole discretion) by the Redemption Date, or by the Redemption Date as so delayed.
